Client Successes
The value of our immediate, informed, hands-on legal support reveals itself in many diverse ways. Here are but a few concrete examples.
Saving Millions With the Stroke of a Pen
The Founder negotiated a joint venture with a European company. Cardis first learned of the joint venture agreement 4 days before the scheduled closing. The agreement appeared suitable, but Cardis' on-site relationships informed him of an incentive discount program for top distributors. He immediately saw that, although unintended, the proposed language would shift the entire discount to his client, costing it millions over the projected life of the contract. Cardis quickly drafted an innocuous modification that allocated the cost equally. His modifications were accepted without comment.
Negotiating Insurance Policy Terms With a Major Carrier
Usually insurance policies are preprinted forms, offered on a take it or leave it basis. One of the country's largest carriers proposed terms to a policy endorsement that left the client significantly exposed. Cardis demanded certain language be inserted in the policy, and the carrier acceded, avoiding potential future exposure in the millions of dollars.
Managing Outside Legal Costs
At the time this engagement began, the client had outside legal costs that had been escalating into the high six figure range. Cardis helped the client manage its legal matters and reduce its annual outside legal expense by over fifty per cent.
Creating Solutions to Make a Client Fundable
A client had built a cutting edge product that outperformed the competition and could profitably sell at a much lower price. The CEO had excellent credentials and knew some venture capitalists, but had been unable to attract investors. Cardis discovered the major obstacle was investor concern over possible claims on the intellectual property. So he devised an unprecedented strategy resulting in a court order confirming the client's ownership of the IP. With the decree in hand, Cardis then helped rewrite the business plan and secured relationships that led to investments of approximately $3 million.
Effective Negotiating With a Public Company
The CEO had been negotiating a deal for months with a publicly traded reseller with full time inhouse legal staff. He asked Cardis to re-write the agreement to incorporate several needed changes. A partner at a major Center City firm estimated they'd have charged about $10,000 to do such a project, and would take several weeks. The negotiations needed to be completed immediately. Cardis critiqued the reseller's proposed changes, conformed the acceptable changes, incorporated additional client changes, added several of his own and delivered the finished draft in under a week for half the quoted price.
Finding Money
Upon reviewing a client's historical legal matters, Cardis found a substantial judgment in the client's favor. The client believed there were no assets, so nothing had been done with the judgment. Cardis identified assets in another jurisdiction, obtained counsel in that jurisdiction, transferred the judgment transferred, and quickly settled the "worthless" judgment for $250,000.
